USER’S AGREEMENT
[Consent relating to the Use of Electronic Commercial Transaction] Article 1 (Objective) The objective of this agreement is to set forth basic terms relating to the electronic financial transactions between KCP CO., LTD./UDID CO., LTD. (“Company”) and Users of the electronic payment agency service and escrow (payment deposit) service provided by the Company. Article 2 (Definitions) The terms of this agreement have the following meanings. (1)“Electronic Financial Transaction” means a transaction whereby the Company provides electronic payment agency service and escrow (payment deposit) service (collectively “Electronic Financial Transaction Service”) and a User uses such services in automated system without direct communication with employees of the Company. (2)“Electronic Payment Agency Service” means an service of receiving or transmitting payment information electronically or carrying out settlement of payment on behalf of a User or brokering settlement of payment. (3)“Escrow (Payment Deposit) Service” means, in connection with a User’s purchase of products or use of service, a service whereby the if the amount of payment for such products or services is paid in advance before receiving products or using services, the amount of such payment is deposited with the Company until it is confirmed that a User received products or used services. (4)“User” means a party who consents to this Agreement and uses Electronic Financial Services provided by the Company. (5)“Medium of Access” means information or means used to secure veracity and accuracy of the transaction details and User, or give Transaction Instruction in Electronic Financial Transaction, and refers to electronic card or other similar electronic information (including credit card number), certificate provided under the Digital Signature Act, User number registered with the Company, User’s bio-data, password necessary to use the aforementioned means or information, etc., as prescribed under the Article 2, Item 10 of the Electronic Financial Transaction Act. (6)“Transaction Instruction” means the User’s instruction to the Company to process Electronic Financial Transaction in accordance with Electronic Financial Transaction Contract pursuant to this standard agreement. (7)“Error” means an instance where an Electronic Financial Transaction has not been processed in accordance with Electronic Financial Transaction Contract or Transaction Instruction without intentional misconduct or negligent act or omission of a User. Article 3 (Posting and Amendment) (1)Company shall post this agreement on its initial service screen or its website so that a User can confirm the material terms of this agreement before using the Electronic Financial Transaction Service. (2)If a User requests a copy of this agreement, the Company shall provide such copy of this agreement via transmission of electronic document. (3)In the event of amendment of this agreement, the Company shall post the amended agreement on its website or the initial screen page of the Electronic Financial Services no later than one (1) month before the effective date of the amendment. Article 4 (Electronic Payment Agency Services) Electronic Payment Agency Services are classified in accordance with payment method as follows: (1)“Credit Card Payment Service” means a service whereby a User pays by credit card. Company receives and transmits credit card payment information via electronic payment system and settles the payment amount on behalf of the User, or brokers settlement. (2)“Account Transfer Service” means a real-time wire transfer service whereby a User, through the Company’s electronic payment system, withdraws the payment amount from his/her account registered at a financial institution and transfers to another account. (3)“Virtual Account Service” means a service of automatically providing a User who wants to pay in cash with a one-time disposable account for payment through the Company’s electronic payment system. (4)Others include services provided the company such as “Mobile Phone Payment Service,” “ARS Payment Service,” ”Gift Certificate Payment Service,” “Transportation Card Payment Service,” etc. Article 5 (Escrow (Payment Deposit) Service) (1)User (in this Article 5, User includes a party to be provided with products or services if a User consents) shall notify the Company of the fact the User has been provided with products or services within three (3) business days from the date when such products or services were provided. (2)After notified of the fact that a User has been provided with products or services, the Company shall make payment to the on-line seller for the products or services within the period agreed between the Company and the on-line seller. (3)If a User does not notify the Company of the fact he/she has been provided with products or services for three (3) days after the receipt date of such products or services, the Company may make payment to the on-line seller for the products or services without the User’s consent. (4)If a User presents a ground for refund before the Company makes payment for products or services to the on-line seller, the Company shall refund such payment to the User. (5)Company may adopt a separate terms of Escrow (Payment Deposit) Service providing for rights and obligations in connection with Escrow (Payment Deposit) Service. Article 6 (Service Hours) (1)Company shall provide the Electronic Financial Transaction Service 24 hours a day all year round; provided, however, the service hours may change depending on the circumstance of the financial institution or other payment method issuer. (2)If suspension of the Service is inevitable due to repair, inspection or other technical necessity or other circumstances of a financial institution or other payment method issuer, the Company may temporarily suspend its Service after posting a notice on its website through available electronic methods no later than three (3) days before the date of suspension; provided, however, the Company may suspend its service without posting a notice in emergencies such as system failure, urgent program fix, external factors, etc. Article 7 (Selection, Use and Maintenance of Medium of Access) (1)Company may select a Medium of Access and confirm a User’s identity, authority and details of Transaction Instruction to provide Electronic Financial Transaction Service. (2)User shall not lend nor assign the Medium of Access to a third party. User shall not delegate the use of the Medium of Access to a third party nor shall provide such as collateral. (3)User shall not disclose nor leak his/her own Medium of Access to a third party. User shall exercise sufficient care in order to prevent forgery or falsification of such Medium of Access. (4)In case a User notifies the Company of any loss or theft of the Medium of Access, the Company shall be responsible for damages incurred by such User by a third party’s use of such Medium of Access after the notification. Article 8 (Confirmation of Transaction Information) (1)Company shall have a User confirm details of his/her transaction (including without limitation a User’s “details of request for correction and results of processing”) by electronic methods agreed between the parties. If requested by a User, the Company shall provide the User with a copy of such information by fax, etc., within two (2) weeks from the date of such request. (2)Company provides a User with information such as: i) account name or number, transaction type or amount, counterparty information, transaction date, type of electronic device and information to identify the electronic device, access records to the electronic device in connection with the relevant Electronic Financial Transaction for five (5) years; and ii) record of transactions in the amount not exceeding KRW10,000 per instance, approval record for transactions where electronic payment method has been employed, correction request and result of processing for one (1) year; provided, however, information regarding the fee of the member stores collected by the Company in consideration for Electronic Payment Agency Service shall be excluded from the information provided to Users. (The following paragraph has been partially amended as of September 13, 2010) (3)A User may request a copy of the information regarding his/her transaction at the following address: Address: 6th Floor, ACE Twin Tower 2 Cha, Guro 3-dong, Guro-gu, Seoul, KoreaEmail Address: payapp@udid.co.kr Phone: +82-1800-3772 Article 9 (Correction of Error, etc.) (1)A User may request the Company to correct an error in connection with his/her Electronic Financial Transaction Service. (2)In the event of a request provided in the above Article 9, Paragraph 1, the Company will promptly investigate and handle the requested matter and notify the result thereof within two (2) weeks from the receipt date of such request. Article 10 (Company’s Responsibility) (1)Company is not responsible for damages incurred by a User due to forgery or falsification of a Medium of Access not issued by the Company. (2)Company is responsible for damages incurred by a User due to forgery or falsification of a Medium of Access issued by the Company; provided, however, the Company is not responsible for such damages in case a User violates the Paragraph (2) or reveals, leaks or neglect his/her Medium of Access even though the User knew or should have known a third party could access the User’s Medium of Access without authorization for Electronic Financial Transaction. (3)Company is responsible for damages incurred by a User during electronic transmission or handling process of contract execution or Transaction Instruction unless proviso in Paragraph (2) applies or the damage occurs to a corporation (other than small enterprise under Article 2 Paragraph 2 of the Small and Medium Enterprise Basic Act) and the Company has exercised reasonably sufficient duty of care to prevent the accident including establishing security procedure and has fully complied with the security procedure, etc. (4)Company shall not be responsible for damages incurred by a User due to delay or failure of transaction caused by the acts of God, blackout for which the Company is not responsible, fire, communication problems or other conditions beyond the Company’s control if the User has been notified of such delay or failure of transaction (including notification by financial institution, payment method issuer or on-line seller). Article 11 (Effect of Electronic Payment Contract) (1)If User’s Transaction Instruction relates to electronic payment transaction, Company makes payment on behalf of a User and transmits details of such Transaction Instruction so that the payment is made. (2)Company shall refund the received funds in the event payment transaction has not been made in accordance with a User’s Transaction Instruction in regard to electronic payment transaction. Article 12 (Cancellation of Transaction Request) (1)A User may cancel his/her Transaction Request regarding electronic payment transaction prior to such payment becomes effective. (2)Payment becomes effective when: (i) in case of electronic fund transfer, deposit record is completed in account ledger of the financial institution where the recipient maintains an account, or (ii) in other cases of payment by electronic payment methods, payment information has been entered in the electronic device of the financial institution where a recipient maintains an account. (3)After payment becomes effective, a User is entitled to refund of the payment in accordance with the Article 5 herein or order cancellation provision under the consumer protection related statutes such as the Act relating to the Consumer Protection in Electronic Commerce, Etc. Article 13 (Generation and Retention of Electronic Payment Agency Service Record) (1)Company generates and retains records whereby a User may search or trace the details of his/her Electronic Financial Transaction, or confirm or correct any error in connection therewith. (2)Record types and retention method thereof shall be provided under Article 8, Paragraph 2 herein. Article 14 (Prohibition of Providing Electronic Financial Transaction Information) Company will not disclose to a third party the information obtained in connection with provision of the Electronic Financial Transaction Service, such as a User’s personal data, account information, Medium of Access or details and history of the Electronic Financial Transaction, etc. nor will use such information outside the scope of business without User’s consent. Article 15 (Disputes) (1)A User may request the following person in charge of consumer-related disputes for receiving complaint or suggestion regarding Electronic Financial Transaction Service, or claim for damages, etc. Name of Person in Charge: charlie-Cheong Contact Information (Phone Number & Email): +82-1800-3772, payapp@udid.co.kr (The following paragraphs have been partially amended as of February 4, 2014) (2)In case a User requests the Company to handle a dispute, the Company notifies a result of investigation or handling of such matter within fifteen (15) days from the date of such request. (3)A User may apply for mediation in connection with his/her use of the Company’s Electronic Financial Transaction Service to the Financial Disputes Mediation Committee of the Financial Supervisory Service under the Article 51 of the Act on the Establishment, Etc. of Financial Services Commission, or to Korea Consumer Agency under the Article 31, Paragraph 1 of the Consumer Protection Act. Article 16 (Company’s Obligation to Secure Stability) For the purpose of securing reliability and stability of the Electronic Financial Transaction, the Company complies with the standard prescribed by the Financial Supervisory Service with regard to information technology and electronic finance including manpower, facilities, electronic device, etc., for electronic transmission or handling according to the type of electronic financial transactions.. Article 17 Governing Law and Jurisdiction (1)Disputes not provided under this Agreement shall be governed by consumer protection related statutes such as Electronic Financial Transaction Act, Act relating to the Consumer Protection in Electronic Commerce, Etc, Specialized Credit Financial Business Act, etc. (2)The jurisdiction concerning the dispute between the Company and the User shall be in accordance with the Civil Procedure Act. [Consent to Collection and Use of Personal Information] UDID CO., LTD. (hereinafter, the “Company”), setting a high value on a user’s personal information, complies with Act relating to the Promotion of Telecommunication Network Use and Protection of Information, etc., Personal Information Protection Act and Act relating to the Consumer Protection in Electronic Commerce, etc. Company collects from a user of the Company’s electronic payment agency service and/or escrow (payment deposit) service (“Service”) his/her personal information as follows: 1. (Purpose of Collection and Use of Personal Information) Company collects a user’s personal information for the following purposes: -Identification and confirmation of real name in order to establish, maintain and conclude service provision agreement, managing members in various ways.; -Identification, verification of the User and confirmation of real name during the process of providing service, and providing various notices/guidance to the members; -Providing service relating to electronic commerce such as refund of payment, delivery of product, etc.; -Confirm User’s intention such as consent or withdrawal necessary to provide service and handle related work; -Identifying usage frequency and providing service according to special characteristics of population statistics, and CRM; and -Communicate information that are advertisement in nature such as event, etc. provided by the Company, provide service in accordance with special characteristics of statistics and post advertising, carry out actual marketing activities. -Issuance and management of cash receipts, etc. 2. Company may collect additional information necessary to payment, shipment or refund in connection with the Service. 3. (Retention and Use Period of Personal Information) As a general principle, User’s personal information shall be promptly destroyed upon fulfillment of the purpose of collection and use thereof. However, following personal information shall be retained for the reasons below for the specified period: A.Retention of Information in accordance with the Company Policy -Retained Items: items collected during customer service (company name, customer name, phone number, email address, service request details) -Reason for Retention: for explanation purpose in case of disputes -Retention Period: Six (6) months after completion of customer service. B.Retention of Information in accordance with Applicable Law If it is necessary to retain them pursuant to applicable laws including without limitation Korean Commercial Code, Act relating to the Consumer Protection in Electronic Commerce, etc. and the Electronic Financial Transaction Act, the Company retains the information for certain prescribed period. In such instance, the Company retains information only for retention purposes and the period of retention is as follows: -Record of contracting or withdrawal of offer: Retention Period: Five (5) years / Basis for Retention: Act relating to the Consumer Protection in Electronic Commerce, etc. -Record of payment or product supply: Retention Period: Five (5) years / Basis for Retention: Act relating to the Consumer Protection in Electronic Commerce, etc. (However, if the amount of transaction in each instance is less than KRW10,000, information shall be retained for one (1) year.) -Record of customer complaint or dispute handling: Retention Period: Three (3) years / Basis for Retention: Act relating to the Consumer Protection in Electronic Commerce, etc. -Record of collection/handling and use of credit information: Retention Period: Three (3) years / Basis for Retention: Use and Protection of Credit Information Act -Record of user identification: Retention Period; Six (6) months / Basis for Retention: Act relating to the Promotion of Telecommunication Network Use and Protection of Information, etc. -Record of Visit: Retention Period: Three (3) months / Basis for Retention: Telecommunication Secret Protection Act -Records of payment history on cash receipts Retention Period: One (1) year / Basis for Retention: Tax Reduction and Exemption Control Act. 4. (User’s Refusal of Collection and Use of Personal Information) User may refuse to consent to the Company’s collection and use of his/her personal information. However, payment for the Service by a user who has refused to such may not be completed in normal fashion. [Consent to Personal Information Provision and Entrustment] KCP CO., LTD./UDID CO., LTD.(hereinafter, the “Company”), setting a high value on a user’s personal information, complies with Act relating to the Promotion of Telecommunication Network Use and Protection of Information, etc., Personal Information Protection Act and Act relating to the Consumer Protection in Electronic Commerce, etc. Company only uses users’ personal information with the scope notified in [Collection Purpose of Personal Information]. Without prior consent of a user, the Company will not use the personal information outside such scope nor will provide or delegate to an outside third party, except in the following instances: -When a user gives a prior consent thereto, i.e., a user voluntarily consents to provision of his/her personal information to a third party for service use, etc. ; or -When required by applicable laws or by investigation agencies following procedure and method. In the above instances, the Company will give a prior notice to the user with respect to: 1) a party to whom the information is provided; 2) purpose of use; 3) personal information items provided; and 4) period of retention and use to obtain the user’s explicit and individual consent. During the process, the Company will not collect additional information against the user’s intention nor will share with a third party the information outside the scope of consent. 1. B.Counterparty of a User 1)Purpose of the Person Receiving Personal Information for the Use of the Personal Information: Confirming the approval of transaction, cancellation and refund, settlement of transaction payment, confirm and respond to the request for confirmation of transaction. 2)Items of Personal Information to be Provided: User’s service transaction information (transaction approval per payment means, cause for failure to approve transaction, payment date, payment amount, etc.) 3)Period of Retention and Use of Personal Information by the Party Receiving Personal Information: Keeping custody of the transaction details in accordance with applicable laws and regulations (one year in case the transaction amount is KRW 10,000 or less per instance, 5 years in case the transaction amount exceeds KRW 10,000). 2. (Delegating the Handling of Personal Information) Company delegates the personal information collected from users to a third party as follows: A.Payment Service Providers.
